Terms of Service

These Terms govern access to and use of Toolsobiz websites, software, managed services, customer portals and related implementation or support services. By purchasing, accessing or using Toolsobiz, the customer agrees to these Terms and any applicable order, proposal or service agreement.

1. Platform and services

Toolsobiz provides configurable business-management software. Features may include sales, customers, employees, payroll, property, inventory, bookings, ecommerce, accounting, reporting and customer-portal capabilities. Available features depend on the selected plan, installation, configuration, country, integrations and third-party services.

2. Customer responsibilities

Customers are responsible for the accuracy and legality of information entered into Toolsobiz, user permissions, business procedures, regulatory obligations, tax treatment, payroll decisions, accounting policies, backups required by their own policies, and maintaining appropriate access to their accounts and devices.

3. Plans, purchases and provisioning

Toolsobiz may offer Managed Cloud trials, recurring Managed Cloud subscriptions, Self-Hosted Professional one-time software licenses, additional Toolsets and professional services. Prices, billing frequency, included Toolsets and other purchase details are those displayed and authorized at checkout or stated in the applicable written agreement.

Payment confirmation and workspace provisioning are separate steps. A successful payment or payment-method setup authorizes Toolsobiz to begin the applicable trial, subscription, license-fulfillment or provisioning process. Requested Toolsobiz subdomains are subject to availability, naming requirements, security considerations and approval and do not transfer ownership of the Toolsobiz domain or subdomain.

4. Managed Cloud 7-Day Free Trial

Where offered, the Managed Cloud trial is free for seven days and requires a valid supported payment method. The customer authorizes the monthly or annual subscription amount displayed before checkout. Unless canceled before the trial expires, the selected paid subscription begins automatically after seven days and the authorized amount becomes due. If canceled before paid service begins, no subscription charge is due for the free trial.

5. Managed Cloud — Start Now

Start Now begins as a paid Managed Cloud subscription without a free trial. The amount displayed at checkout is charged when the payment provider confirms the transaction. Monthly subscriptions renew monthly and annual subscriptions renew annually until canceled. Cancellation stops future renewals; access ordinarily continues through the already-paid service period unless otherwise required by law or agreed.

6. Self-Hosted Professional — One-Time License

Self-Hosted Professional is a one-time software license and is not a Managed Cloud monthly or annual subscription. The license includes the software and Toolsets identified at checkout or in the applicable order. Additional Toolsets may require additional one-time license charges. Hosting, domain registration, installation, migration, customization, training and other professional services are separate unless expressly included.

The purchase grants a right to use the licensed Toolsobiz software under these Terms; it does not transfer ownership of Toolsobiz software, source code, trademarks or other intellectual property.

7. Cancellations and refunds

The Toolsobiz Cancellation & Refund Policy forms part of these Terms. Managed Cloud cancellation ordinarily prevents future renewal charges rather than retroactively canceling an already-started paid service period. Self-Hosted software licenses and professional services have different fulfillment and refund conditions. Nothing limits rights that applicable law does not permit the parties to exclude.

8. Payments and merchant services

Toolsobiz can connect to supported payment processors, banks and gateways, but Toolsobiz is not a bank, card network or merchant acquirer. The customer owns and controls its merchant accounts and is responsible for provider applications, identity verification, fees, chargebacks, refunds, reserves and compliance with provider rules. Availability and approval of supported third-party payment providers, bank APIs or other gateways are determined by those providers and may vary by country. Toolsobiz may charge separately for gateway installation, configuration, testing or custom integration.

9. Accounting, tax and business information

Toolsobiz provides recordkeeping, calculations, reports and workflow tools. It does not provide legal, tax, accounting, investment or other regulated professional advice. Customers should have qualified professionals review decisions and filings where appropriate. Reports depend on the accuracy, completeness and configuration of the underlying data.

10. Third-party services

Integrations may depend on third-party platforms, APIs, banks, authentication providers, hosting services or other vendors. Their availability, pricing, rules and functionality are outside Toolsobiz's control and may change or be discontinued. Toolsobiz does not guarantee approval for or uninterrupted availability of a third-party service.

11. Managed and self-hosted installations

Managed Cloud services may include hosting, SSL, backups, updates, monitoring and support as described in the applicable plan. Self-hosted customers are responsible for their hosting environment except for services expressly included in their agreement. Custom or enterprise work may be governed by additional written terms.

12. Acceptable use

Customers may not use Toolsobiz unlawfully; interfere with the service; attempt unauthorized access; distribute malicious code; misuse another person's data; or use the platform in a way that violates applicable laws, third-party rights or provider agreements.

13. Intellectual property

Toolsobiz and its software, designs, branding and platform materials remain the property of their respective owners and licensors. Customers retain ownership of their business data. Access to the software is a license or subscription right, not a transfer of ownership, unless a written agreement expressly states otherwise.

14. Availability, backups and changes

We work to provide reliable service but do not promise that any online service will be uninterrupted or error-free. Maintenance, internet failures, hosting incidents, third-party outages and other events may affect availability. Features may be improved, replaced or modified over time. Backup and recovery commitments, if any, are those stated in the applicable service plan or written agreement.

15. Warranties and limitation of liability

To the maximum extent permitted by applicable law, Toolsobiz is provided on an “as available” basis except for express commitments in a written agreement. Toolsobiz is not responsible for indirect, incidental, special, consequential or lost-profit damages arising from use of the service, third-party services, customer-entered data or business decisions. Any liability that cannot legally be excluded will be limited only to the extent permitted by applicable law. Nothing in these Terms excludes rights or liabilities that applicable law does not permit the parties to exclude.

16. Suspension and termination

Access may be suspended or terminated for nonpayment, security risk, unlawful use, material breach or as otherwise provided by the customer's plan or written agreement. Customers should export records they are required to retain before service termination when access is available.

17. Upgrades, Toolsets and plan changes

A completed purchase remains part of the commercial and audit history. A later move between eligible delivery models, addition of Toolsets or purchase of additional services may be treated as a separate upgrade, change or purchase and may require additional authorization and payment. Administrative changes do not erase or rewrite the history of an earlier completed purchase.

18. Changes and additional agreements

These Terms may be updated as Toolsobiz evolves. An order form, proposal, enterprise agreement, data-processing agreement or other signed agreement may add to or modify these Terms for a particular customer. If a signed agreement expressly conflicts with these Terms, the signed agreement controls for that conflict.
